Agreement
This Terms of Service Agreement constitutes a legally binding agreement between you, the client (Client or you), and Centralize Asia Enterprise (Company, we, us, or our), a company registered in Malaysia.
Client materials
The Client retains all ownership rights to pre-existing materials, data, or intellectual property supplied to the Company for use in the project (Client Materials). The Client grants the Company a limited, non-exclusive, royalty-free license to use the Client Materials solely for the purpose of performing the Services.
Company intellectual property
The Company retains all ownership rights to its proprietary software, tools, libraries, frameworks, methodologies, and other pre-existing intellectual property used to provide the Services (Company IP).
Confidentiality
Both parties agree to keep all non-public information received from the other party (Confidential Information) strictly confidential. This includes business plans, financial data, source code, trade secrets, and client information. This obligation survives termination of the Agreement.
